Mavenir, in partnership with its existing investor Siris, has announced a comprehensive recapitalisation plan involving a strategic agreement with its lenders. The plan includes the elimination of over $1.3 billion in existing debt and the infusion of $300 million in new senior financing, supported by a subordinated facility from Siris and select participating lenders.
The recapitalisation is expected to enhance Mavenir’s liquidity and financial stability, reduce net leverage and position the company for long-term growth and operational sustainability. Siris will retain its controlling ownership stake and continue to play an active role as Mavenir pursues its vision of cloud-native, artificial intelligence (AI) powered network infrastructure.
Further, the funding is also likely to enable Mavenir to strengthen its focus on its core business, software solutions for voice, messaging, video, and data services, while streamlining its open radio access network (O-RAN) strategy to prioritise software-centric 4G and 5G deployments. The company is expected to continue to support its existing O-RAN hardware IP to offer maximum flexibility to customers in the evolving network landscape.
Additionally, Mavenir plans to accelerate investments in AI-driven capabilities across its mobile core and O-RAN portfolios, aiming to develop autonomous networks and AI-native solutions. This aligns with the company’s broader goal of building future-ready, cloud-native network platforms operable across any cloud environment.
